Terms and Conditions

 

 

 

 

    General

     

  1. All websites will be hosted by The Art Lab Ltd or third parties as determined by The Art Lab Ltd
  2. Full payment must be made within 5 working days of delivery of the website or before the website goes live, which ever is sooner.
  3. The Art Lab will endeavour to deliver websites within agreed timescales however cannot be held accountable for third party delays or events beyond their control.

    4.  

    Client Delays

     

  4. All changes made by the customer to the requirements after the website brief has been signed off are changes and might incur additional charges and extend the delivery of the website.
  5. All text, images etc supplied by the client must be supplied within the agreed timescales. Failure to supply within these time limits may delay the launch of the website. Failure to supply these within 10 working days of the agreed date may make the full amount of the invoice due within a further 5 working days.
  6. Errors and Corrections from clients are expected within 3 working days of the site being deployed for testing. Any errors or corrections not identified within 10 working days will be deemed to be acceptable and the site will be launched as is.
    1. Such errors may be corrected at a later date and a fee may be levied.

    7.  

    Client Cancellation

     

  7. Should a client choose to cancel at any time:-
    1. the original payment paid is non-refundable.
      2. The Art Lab reserves the right to invoice for all work undertaken and costs incurred due for completion within 5 working days of notification of cancellation.

    8.  

    Copyright

     

  8. Unless negotiated and agreed in writing by a director of The Art Lab Ltd, the copyright of general artwork, commissioned artwork and illustrations and anything else whatsoever prepared, developed or created by The Art Lab Ltd shall vest in and belong to The Art Lab Ltd. The Art Lab Ltd may use any websites, artwork or printing produced by itself for the purposes of promoting itself and/or THE ART LAB LTD. The customer shall be responsible for obtaining all necessary authorities and consents to reproduce pictures, artwork, photographs, copyright text and/or any other reproducible materials ("Materials") prior to instructing The Art Lab Ltd to reproduce the same. The customer shall indemnify and hold The Art Lab Ltd and its agents and representatives harmless against all claims, demands, actions, costs, expenses (including but not limited to legal costs and disbursements), losses and damages arising from or suffered or incurred by reason of any claim (including but not limited to the defence of such claim) that the reproduction of the Materials by The Art Lab Ltd infringes the intellectual property or other rights of any third party or misuses the confidential information of a third party.

    9.  

    Insolvency

     

  9. If the customer ceases to pay its debts in the ordinary course of business or cannot pay its debts as they become due or being a company is deemed to be unable to pay its debts or has a winding-up petition issued against it or being a person commits an act of bankruptcy or has a bankruptcy petition issued against it, The Art Lab Ltd without prejudice to other remedies shall (i) have the right not to proceed further with the contract or any other work for the customer and be entitled to charge for work already carried out (whether completed or not) and materials purchased for the customer, such charge to be an immediate debt due to The Art Lab Ltd, and (ii) in respect of all unpaid debts due from the customer have a general lien on all goods and property in The Art Lab Ltd possession (whether worked on or not) and shall be entitled on the expiration of 10 working days' notice to dispose of such goods or property in such manner and at such price as The Art Lab Ltd thinks fit and to apply the proceeds towards such debts.

    10.  

    Illegal matter

     

  10. The Art Lab Ltd shall not be required to print any matter which in its opinion is or may be of an illegal or libellous nature or an infringement of the proprietary or other rights or any third party.
  11. Without prejudice to item 8 (Copyright), the customer shall indemnify and hold The Art Lab Ltd harmless against all claims, demands, costs, expenses (including but not limited to legal costs and disbursements), losses and damages arising from or suffered or incurred by reason of the work it is required to produce pursuant to a customer order being or alleged to be defamatory.

    12.  

    Data Protection

     

  12. By placing an order with The Art Lab Ltd, the customer consents to its details being passed on to Creation Publicity Ltd for accounting and marketing purposes. The details will be kept by Creation Publicity Ltd even after the customer's trading relationship with The Art Lab Ltd has terminated. The Art Lab Ltd may use the customer's personal data to let customers know about goods and services similar to the goods or services provided to the customer previously and any others matters that The Art Lab Ltd consider may be of interest to customers.

    13.  

    Variation to Terms and Conditions

     

  13. These terms and conditions may be amended from time to time. The latest version of these terms and conditions may be accessed via the Website.

    14.  

    Law

     

  14. These terms and conditions and all other express terms of the contract with customers shall be governed and construed in accordance with English law. English Courts shall have jurisdiction in relation to any matters arising in connection with any contract between The Art Lab Ltd and the customer into which these terms are incorporated.
